Welcome to Tagstocks. These Terms and Conditions ("Terms") govern your access to and use of the Tagstocks cloud-based retail management system, including our website at https://tagstocks.com, our web application at https://app.tagstocks.com, and all related services, features, and content (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Tagstocks ("Tagstocks," "we," "us," or "our").

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Service after any changes indicates your acceptance of the updated Terms.

2. Definitions

For the purpose of these Terms, the following definitions apply:

"Service" — The Tagstocks cloud-based retail management platform, including all software, features, websites, APIs, and support services.
"User" or "You" — Any individual or entity that accesses or uses the Service.
"Account" — A registered user account on the Service.
"Subscription" — A paid plan granting access to the Service for a specified period.
"Content" — Any data, information, files, text, images, or materials uploaded, stored, or processed through the Service.
"Business Data" — Inventory records, sales transactions, customer information, financial data, and other business-related content stored on the Service.

3. Account Registration

To access certain features of the Service, you must register for an Account. When registering, you agree to:

Provide accurate, current, and complete registration information.
Maintain and promptly update your registration information to keep it accurate.
Keep your login credentials confidential and secure.
Notify us immediately of any unauthorized use of your Account.
Be responsible for all activities that occur under your Account.

You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.

4. Subscription and Payments

Tagstocks offers subscription-based pricing plans as described on our website. By subscribing to a paid plan, you agree to the following:

Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are quoted in Malaysian Ringgit (MYR).
Payment: You must provide a valid payment method. By providing payment information, you authorize us to charge the applicable subscription fees.
Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods, except as required by applicable law.
Price Changes: We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price change takes effect on your Account.
Free Trial: If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel at any time during the trial without charge.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Use the Service for any illegal or unauthorized purpose, or violate any applicable laws or regulations.
Upload, transmit, or store any Content that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable.
Attempt to gain unauthorized access to any part of the Service, other Accounts, or computer systems or networks connected to the Service.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service, except as permitted by applicable law.
Use any automated means (bots, scrapers, spiders) to access, monitor, or copy any part of the Service without our prior written consent.
Interfere with or disrupt the integrity or performance of the Service, including by sending viruses, overloading, flooding, or spamming.
Resell, sublicense, rent, or lease the Service to any third party without our express written permission.
Use the Service to store, process, or transmit any Personal Data in a manner that violates applicable data protection laws.

We reserve the right to suspend or terminate your access to the Service for any violation of these acceptable use terms, at our sole discretion.

6. Intellectual Property

Tagstocks Intellectual Property: The Service, including its software, design, logos, trademarks, documentation, and all related intellectual property rights, are and will remain the exclusive property of Tagstocks. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use the Service as described herein.

Your Business Data: You retain full ownership of all Business Data you upload, store, or process through the Service. By using the Service, you grant Tagstocks a limited, worldwide, non-exclusive license to access, store, and process your Business Data solely as necessary to provide the Service to you and as described in our Privacy Policy.

Feedback: Any suggestions, ideas, or feedback you provide about the Service may be used by Tagstocks without any obligation to you.

7. Data and Privacy

Your privacy is important to us. Our collection, use, and handling of your personal data and Business Data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to the terms of our Privacy Policy.

We implement reasonable technical and organizational measures to protect your data. However, no method of transmission over the internet or electronic storage is 100% secure. While we strive to protect your data, we cannot guarantee its absolute security.

8. Service Availability

Tagstocks will make commercially reasonable efforts to ensure the Service is available and operational. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice where practical).
Emergency maintenance or updates.
Factors beyond our reasonable control, including internet service provider failures, denial of service attacks, or force majeure events.

Tagstocks will not be liable for any loss or damage arising from Service unavailability, interruptions, or errors.

9. Limitation of Liability

Disclaimer of Warranties: To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will meet your requirements or operate without interruption or error.

Limitation of Damages: To the fullest extent permitted by applicable law, in no event shall Tagstocks, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Tagstocks has been advised of the possibility of such damages.

Cap on Liability: To the extent permitted by applicable law, Tagstocks' total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Tagstocks during the twelve (12) months immediately preceding the event giving rise to the claim.

Force Majeure: Tagstocks shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, civil or military authority actions, fires, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tagstocks, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of and access to the Service.
Your violation of any term of these Terms.
Your violation of any third-party right, including any intellectual property right or privacy right.
Any claim that your Business Data caused damage to a third party.
Your violation of any applicable law, rule, or regulation.

11. Termination

Termination by You: You may terminate your Account at any time by cancelling your subscription through your Account settings or by contacting us. Termination takes effect at the end of your current billing period.

Termination by Tagstocks: We may suspend or terminate your Account and access to the Service, with or without notice, for any reason, including but not limited to:

Breach of these Terms.
Non-payment of subscription fees.
Conduct that we believe may harm other users, third parties, or the reputation of Tagstocks.
Extended periods of account inactivity.

Effect of Termination: Upon termination, your right to access and use the Service will immediately cease. We will retain your Business Data for a period of 30 days after termination, during which you may request a data export. After 30 days, we may permanently delete your Business Data. You remain liable for any outstanding fees or charges incurred before termination.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by:

Posting the updated Terms on our website.
Sending an email notification to the address associated with your Account.
Displaying a notice within the Service.

Material changes will take effect 30 days after notification. Non-material changes take effect immediately upon posting. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your Account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malaysia.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
